MERGERS AND ACQUISITIONS IN INDIA: A CASE STUDY ON INDIAN BANKING SECTOR

The International Banking scenario has shown major changes in the past few years in terms of the Mergers and Acquisitions. Like all business entities, banks want to safeguard against risks, as well as exploit available opportunities indicated by existing and expected trends. Mergers and Acquisition in the banking sector have been on the rise in the recent past, both globally and in India. Mergers and Acquisitions is the only way for gaining competitive advantage domestically and internationally and as such the whole range of industries are looking to strategic acquisitions within India and abroad. In order to attain the economies of scale and also to combat the unhealthy competition within the sector besides emerging as a competitive force to reckon with in the International economy. Consolidation of Indian banking sector through mergers and acquisitions on commercial considerations and business strategies-is the essential prerequisite. In the light of emerging global and Indian trends in the banking sector, this study highlights the main issues related with mergers and acquisition in the banking sector in India. It attempts to explain the objectives behind mergers and acquisition that have taken place in Indian banks since nationalization of banks. A present scenario of mergers in Indian banking sector and some key recommendations for banks, follow from this study.

Financial Sector Reforms set in motion in 1991 have greatly changed the face of Indian Banking. Since 1992, the Indian Banking system has undergone several changes in terms of organisation, functions, resource mobilisation, socioeconomic role etc. In the wake of economic reforms, Indian industries have started restructuring their operations around their core business activities through merger, acquisition, and takeovers. Merger and Acquisitions provide an opportunity to banks to share their resources, expand delivery platforms & to improve chances for economies of scale in their operations. In this paper an attempt is made to compare the premerger and post-merger performance of State bank of India with its associates banks comparing different efficiency parameters.

The purpose of the present paper is to explore various motives of merger in Indian banking industry. This includes various aspects of bank mergers. It also compares pre and post merger financial performance of merged banks with the helps of financial parameters like, Gross Profit margin, Net Profit margin, operating Profit margin, Return on Capital Employed, Return on Equity, and Debt Equity Ratio. Through literature Review it comes know that most of the work done high lightened the impact of merger and Acquisition on different companies. The data of Merger and Accusations since economic liberalization are collected for a set of various financial parameters. Independent T-test used for testing the statistical significance and this test is applied not only for ratio analysis but also effect of merger on the performance of banks. This performance being tested on the basis of two grounds i.e. , Pre-merger and Post-merger. Finally the study indicates that the banks have been positively affected by the event of merger.

A Better Approach to Mergers and Acquisitions
Far more mergers succeed today than in the past. Here’s how to post a win.
Twenty years ago, consultants at Bain & Company published a book that explored a dispiriting reality: Although companies spent billions of dollars a year pursuing deals, 70% of mergers and acquisitions wound up as failures.
But today those odds have inverted. According to new research by Bain, over the past 20 years firms have done more than 660,000 acquisitions, worth a total of $56 trillion, with deals reaching a peak in 2021. And close to 70% of them have succeeded. Even among the roughly 30% that were less successful, many of the deals still created some value.
What has changed? This article presents four explanations for the turnabout.
Twenty years ago, consultants at Bain & Company published a book that explored a dispiriting reality: Although companies spent billions of dollars a year pursuing deals, 70% of mergers and acquisitions wound up as failures. The book, Mastering the Merger , was released in the wake of a series of corporate marriages that ended badly, including AOL and Time Warner, Daimler and Chrysler, and Citicorp and Travelers. This wasn’t a new phenomenon. Academic studies dating back to the 1970s had concluded that most acquisitions don’t play out the way the investment bankers promise. Even among deals that appeared profitable from investors’ perspective, Bain’s surveys of executives showed that many fell short of the internal projections made to justify the purchase.
