Rogers to Acquire Shaw Communications in a $26 Billion Deal

Rogers to Acquire Shaw Communications in a $26 Billion Deal

By simon hung.

Rogers Communications has agreed to buy rival Shaw Communications in a deal worth an estimated $26 billion CAD – an acquisition that would combine two of Canada's top four telecom providers.

The deal is expected to close in the first half of 2022, as it still requires shareholder and Canadian regulatory approval. If approved, the move would undoubtedly shake up the Canadian telecom industry, as the acquisition would make Rogers the second-largest telecom provider in Canada, trailing only Bell. At the time of the announcement, Rogers and Shaw were ranked #3 and #4, respectively.

As part of the acquisition, Rogers plans to invest $2.5 billion CAD to expand their 5G network across Western Canada, along with another $1 billion CAD to improve internet access for rural and Indigenous communities. According to Rogers, the investments would also create approximately 3000 new jobs in Western Canada.

Shaw's market presence is primarily based in Western Canada with internet, phone and TV services from British Columbia to Manitoba, but they do offer some services in Ontario, most notably through their Freedom Mobile subsidiary. In a joint press release, Rogers notes that there will be no changes to Shaw rates or services until the acquisition is finalized, while Freedom Mobile rates will not increase for at least three years.

Rogers and Shaw will continue to operate as two separate companies until the transaction is approved – the deal is expected to face intense scrutiny from federal regulators, as the merger would increase Rogers' stronghold of telecom services across the country, while eliminating a competing option for consumers altogether. Despite this, Rogers President and CEO Joe Natale claims that combining Rogers and Shaw operations will "provide increased competition and choice for Canadian consumers and businesses."

Tell that to the masses, thanks in part to the media running with this hype. Current and past Shaw employees remain "brainwashed" into believing this is a win-win for consumers. Their fallback argument is the Feds will go after Rogers if they don't abide by the terms. However, they fail to understand these agreements have intentional workarounds/loopholes where Rogers can still be compliant even though they [will] cause carrier prices across the board to rise. As soon as one provider raises rates or fees, others will soon follow. This is called mirroring and it's happening everywhere now. As far as Videotron/Freedom is concerned. They need to hike rates if they plan on implementing 5G. Even if they don't get 5G, once Robelus raises their prices they'll follow along too.

  • Surprised nobody has posted this one yet, unless it's in Hot Deals or Shopping Discussion. For Shaw Mobile customers migrating over to Rogers (and porting a line), there's currently a promo for $60/month for 50GB of 5G data up to 250Mbps (ok, "Glorified LTE"), Unlimited Canada calling & text. If you only need 25GB then I believe it was $50/month. Device financing also is possible on these plans. Note this isn't the same offers that will be available if you wait and just migrate your Shaw plan to Rogers when they offer it to you (which "should" be the same price as the Shaw Mobile price you're paying, and without device financing).

Freedom improved a bit after Shaw bought them, but I've still heard consistent reports of people having network issues - it's very location dependent tho. Some are great, some not so much.

Freedom Mobile’s new owner comes out swinging — pledging to undercut Bell, Telus and Rogers by 20% Pierre Karl Péladeau is in a buoyant mood. Considering Freedom network is considered not as good as Robellus, 20% isn't groundbreaking or anything. As an example, the price for Koodo 20GB plan is currently 25% cheaper on Freedom. The gap is even wider than that if its Telus instead of Koodo

  • Is Freedom Mobile any good? I joined a couple of weeks ago & I just discovered I have $50 & 20GB of data plan plus $10 for Apple Watch. That is not what I asked for. I just paid a $170 first month bill. I'm missing several important calls. Phone & watch doesn't ring, but it shows in the Recent Call section. I was thinking it is my iPhone settings. I'm using my own phone. Telephoned them but I cannot understand the accent. I'm not on any Contract (I think). Can I just cancel.

Pierre Karl Péladeau has just come from a marketing meeting in the Toronto offices of his newly acquired wireless company, Freedom Mobile — and he’s in a buoyant mood. His plans include something “surprising” on the marketing front, an intention to undercut the competition by at least 20 per cent, and a fix for an irritating problem current customers face — dropped calls. And the Freedom name? It’s here to stay.

Rogers is now a mammoth compared to the other two sisters. They have Wireless / Cable / Internet and the dying home phone all under their own belt while Telus / Bell are in just halves of the country with their own infrastructure, which isn't a bad thing as they are saving on cost but they do not each have a stronger hold on Cable / Internet customers, of course Telus can enter Mid-Eastern Canada via 5G home internet service in near future but still not the same thing. Rogers footprint just got bigger. These fines do not much to these giants, don't be surprised if things turn for the worse sooner than the 10 years are up, let alone 5 years..... They absolutely are colluding, there is no other reason prices are always practically identical across the board, and each tear tier also matching.

  • Apr 2nd, 2023 @ 3:06 pm
I agree. I don't think a billion dollars is as much money as what some people believe and what the Minister made it out to be. These telecoms are already raking in massive profits. There is almost like collusion going on where the Big 3 seems to raise rates at around the same time. Whatever fines that a future government imposes on Rogers won't mean much because they'll just make it back in time. Eliminating Shaw goes a long way to ensuring future profitability. Everyone knows that it's hard for a new player to enter the industry. It is extremely capital-intensive. I can't think of any big merger in Canadian history that has benefitted the consumer. As for the three thousand jobs, it's a joke because it doesn't stop Rogers from eliminating jobs from elsewhere. Furthermore, they'll just price it all in as a ten-year deal. I fully expect Rogers to begin reneging on its words well before the ten-year deal is up. Then they'll just pay the fines and by the ten-year mark, they will just raise prices. The laws in this country are too weak. If the government can't say no to Rogers and Shaw, we're screwed. I can only imagine what other companies are contemplating with the current Competition Act that we have.

  • Hello friends, There is something that remains unclear following the upcoming acquisition of Freedom Mobile by Quebecor, does anyone have an idea for the answer and could enlighten us? The main interest that I have for this news as a resident of Quebec and the diversification of low cost prepaid mobile plans that are advantageous for me, in prepaid, and especially the prospect of the arrival of an actor in Quebec (Freedom mobile) , which offers 256 kbps of unlimited low-speed prepaid data for plans that start at $24, which is great! Quebecor as everyone knows already offers a ''premium'' service, telephony, monthly subscription only ''Videotron''... They also have a small public mobile/chatr/lucky mobile type operator called ''Fizz'' Unfortunately, this small operator does not offer unlimited data at low speed. When you consume your data envelope, IT'S ENDED. You have to pay even more to advance. What is available here in Quebec in unlimited low speed data for now: - chatr 64 kbps: very very slow, and even this pathetic speed is limited by chatr (rogers), to disgust people and encourage them to buy more expensive prepaid plans with more data. - lucky mobile 128 kbps: The Bell subsidiary has at least the merit of offering all of what is advertised, without cuts... 128 kbps... Unfortunately I did not receive their signal at home (half-basement = poor voice reception) = I had to resign myself to taking chatr with their rotten low speed data (voluntarily), to have a functional voice line where I live. The question I ask myself: Do you think that Quebecor (therefore Videotron, and especially Fizz), will compete itself in Quebec with Fizz, which is in the same category of Freedom mobile, and will transfer - for example - all existing customers from Fizz has Freedom mobile by combining their current Videotron/Fizz coverage with that of Freedom? ... Or, we'll give preference to Fizz in Quebec (Which is more advantageous for them because Fizz does not offer unlimited low speed data = so it forces people to pay more in a roundabout way, de facto). Will Quebecor favor Fizz or Freedom mobile in Quebec? What do you think ? Will the federal conditions have an influence on Quebecor's future choices in Quebec (keep Fizz, favor Freedom, keep both), the federal agreement is very difficult to understand, I'm lost: What do you think will happen with Fizz? /Freedom in Quebec? Thanks in advance for your answers, friends !

  • Real competition will be bogus. There's no way Canada's telecom industry (or most industries in this country for that matter) is actually competitive without participation from foreign companies. It's naive and wishful thinking to think that competition exists in the fundamental sectors in this country. Canada is just one of many western countries run by oligarchs.

I think the free plan from Shaw is toast . No incentive for either side to retain it. Videotron has no other services in the West to bundle it with and I don't think Rogers offers anything similar in the East. TELUS did not match it when Shaw introduced it. Just my 2 cents. Thoughts?
  • Mar 31st, 2023 @ 11:35 am
  • Rogers/Shaw transaction was approved by the Trudeau government today. https://www.cbc.ca/news/business/rogers ... -1.6797175 The feds insist that they are "preserving" competition by requiring Rogers/Shaw to divest Freedom Mobile to Quebecor. And the agreement stipulates that Quebecor can't flip Freedom Mobile to anyone else (read: Telus) for a ten year period. But what if Quebecor after a few years decides that it isn't making money (or enough money) and decides to walk away from Freedom? Will the feds force the company to maintain Freedom's operations? We've seen this movie before. In the Cineplex/Famous Players and Sobeys/Safeway deals, the acquiring companies were forced by the government to divest certain operations in order to "preserve competition." In most cases these operations were shut down by the acquirer a few years later because they were unprofitable.
